1. ACCEPTANCE OF TERMS

By accessing, browsing, or using the YRN Mining platform (the "Platform"), website, mobile application, or any related services provided by YRN Mining, LLC ("YRN Mining," "Company," "we," "us," or "our"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms" or "Agreement") and all applicable laws and regulations.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE OUR SERVICES. Your continued use of the Platform constitutes acceptance of any modifications to these Terms.

2. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below:

• "Bitcoin Mining" means the process of validating Bitcoin transactions and securing the Bitcoin network through computational work, resulting in the generation of new Bitcoin.
• "Colocation Services" means the hosting and maintenance of User-owned mining equipment at YRN Mining facilities.
• "Cryptocurrency" means digital or virtual currency that uses cryptography for security, including but not limited to Bitcoin (BTC).
• "Mining Equipment" or "Mining Rigs" means specialized computer hardware designed for cryptocurrency mining operations.
• "Services" means all services provided by YRN Mining, including self-mining operations, colocation services, mining rig resale, and energy curtailment programs.

3. SERVICE DESCRIPTIONS

3.1 Self-Mining Operations

YRN Mining operates Bitcoin mining facilities to generate Bitcoin through computational mining processes. We utilize advanced mining technologies and maintain operations in premium Texas locations with favorable regulatory environments.

3.2 Colocation Services

We provide hosting services for customer-owned mining equipment at our facilities. Colocation services include:

• Physical security and monitoring
• Electrical power supply and management
• Climate control and ventilation
• Network connectivity and maintenance
• 24/7 facility operations

3.3 Mining Rig Resale Services

We facilitate the purchase and resale of mining equipment through our marketplace platform and industry partnerships, including relationships with Blockware Solutions and other industry leaders.

3.4 Energy Curtailment Programs

We participate in demand response programs to optimize energy consumption and generate additional revenue through grid stabilization services during peak demand periods.

4. USER REGISTRATION AND ELIGIBILITY

4.1 Age and Capacity Requirements

You must be at least 18 years of age and have the legal capacity to enter into binding contracts in your jurisdiction. If you are registering on behalf of an entity, you represent and warrant that you have the authority to bind such entity to these Terms.

4.2 Account Registration

You must provide accurate, current, and complete information during registration and maintain the accuracy of such information. You are responsible for maintaining the confidentiality of your account credentials.

5. INVESTMENT DISCLAIMERS AND RISK WARNINGS

5.1 Specific Risk Factors

You acknowledge and accept the following risks associated with cryptocurrency mining operations:

• Price Volatility: Bitcoin and other cryptocurrency prices are highly volatile and may result in significant losses
• Network Difficulty: Mining difficulty adjustments may reduce profitability
• Regulatory Risk: Changes in cryptocurrency regulations may impact operations
• Technology Risk: Mining equipment may become obsolete or malfunction
• Energy Costs: Fluctuations in electricity prices may affect profitability
• Operational Risk: Facility outages, natural disasters, or equipment failures may disrupt operations

6. USER OBLIGATIONS AND PROHIBITED CONDUCT

6.1 Compliance with Laws

You agree to comply with all applicable federal, state, and local laws, regulations, and ordinances in connection with your use of our services, including but not limited to securities laws, anti-money laundering regulations, and tax obligations.

6.2 Prohibited Activities

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Engage in money laundering, terrorist financing, or other criminal activities
• Interfere with or disrupt our systems or networks
• Attempt to gain unauthorized access to our facilities or systems
• Provide false or misleading information
• Violate any applicable securities laws or regulations

7. LIMITATION OF LIABILITY AND DISCLAIMERS

7.1 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YRN MINING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES.

8. TERMINATION

8.1 Termination by User

You may terminate your account at any time by providing 30 days' written notice. Termination does not relieve you of any payment obligations incurred prior to termination.

8.2 Termination by Company

We may terminate your account immediately for breach of these Terms, illegal activity, or other conduct that may harm our business or other users.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

9.2 Jurisdiction and Venue

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in Texas. You consent to the personal jurisdiction of such courts.
